Welcome to GradeZOO (“Company,” “we,” “us,” or “our”). By accessing or using our website gradezoo.com (the “Site”), purchasing products, or engaging with our services, you (“User,” “Customer,” or “you”) agree to comply with and be legally bound by these Terms of Service. If you disagree with any provision, you must immediately cease using the Site and services.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and GradeZOO.
We reserve the right to modify these Terms at any time. Continued use after updates constitutes acceptance. Check the “Last Updated” date for revisions.

Businesses or organizations must have legal authority to enter into contracts.

Industrial & Heavy-Duty Products:
- Machinery, equipment, or industrial tools (“Industrial Products”) are sold “as-is” unless explicitly stated otherwise.

- Installation, maintenance, and use are at your own risk. GradeZOO disclaims liability for improper handling.
Custom Orders: Made-to-order, personalized, or bespoke items are non-refundable unless defective.
Digital Products: Non-physical goods (e.g., software, licenses) are non-refundable after delivery.

6. Shipping & Delivery

Governed by our Shipping Policy. You agree to provide accurate shipping details. GradeZOO is not liable for delays, lost packages, or customs issues.

7. Returns & Exchanges

Governed by our Returns & Exchanges Policy. Non-returnable items (e.g., industrial products, custom orders) are final sale.

8. Warranties

Manufacturer Warranties: Any warranties are provided solely by the product manufacturer. GradeZOO’s role is limited to facilitating warranty extensions (see Returns Policy).
No Implied Warranties: Products and services are provided “as-is” without warranties of merchantability, fitness for purpose, or non-infringement.

9. Prohibited Conduct

You agree not to:

Use the Site for unlawful purposes (e.g., fraud, money laundering).
Reverse-engineer, decompile, or exploit vulnerabilities in the Site.
Resell products for commercial purposes without written consent.
Upload harmful content (e.g., viruses, malware) or spam.

10. Intellectual Property

11. User-Generated Content

License: By submitting Content, you grant GradeZOO a perpetual, irrevocable, royalty-free license to use, modify, or publish it globally.

12. Disclaimers

Third-Party Services: We are not responsible for third-party platforms (e.g., payment processors, shipping carriers).
Technical Errors: Product descriptions, pricing, or availability inaccuracies may occur. We reserve the right to correct errors.
Outages: The Site may experience downtime for maintenance, updates, or unforeseen issues.

13. Limitation of Liability

GradeZOO, its affiliates, and partners are not liable for:
